Please read these terms and conditions carefully before using our service.

1. Acceptance of Terms

By accessing and using erpcloud.rest (the "Service"), you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Service. The Service is operated by Merutech Limited ("we", "us", or "our"), a company registered in New Zealand.

2. Description of Service

erpcloud.rest provides a REST API platform for Oracle ERP Cloud that enables users to:

  • Explore and test Oracle Fusion Cloud REST APIs
  • Build and execute multi-step workflows
  • Perform batch operations using CSV files
  • Manage and share Oracle connections within teams
  • Store and reuse workflow configurations

3. Account Registration

To use the Service, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Be at least 18 years old or have parental consent
  • Not share your account with others
  • Notify us immediately of any unauthorized access

4. Subscription Plans and Billing

We offer three subscription plans: Entry ($29/user/month), Pro ($49/user/month), and Ultimate ($39/user/month with 5 user minimum). Each plan includes:

  • A 30-day free trial period (credit card required)
  • Monthly billing per user, charged automatically
  • Specific API call limits based on plan tier
  • Execution history retention based on plan tier

Payment Processing: All payments are securely processed through Paddle.com, who acts as our Merchant of Record and handles global tax compliance (VAT, sales tax, GST). By subscribing, you authorize Paddle to charge your payment method on a recurring monthly basis until you cancel your subscription. Paddle will appear on your bank/card statement.

Price Changes: We reserve the right to modify pricing with 30 days advance notice. Price changes will take effect at the start of your next billing cycle.

5. Refund Policy

We want you to be satisfied with our service. We offer a 14-day money-back guarantee on all plans.

5.1 14-Day Money-Back Guarantee

If you are not satisfied with our service for any reason, you can request a full refund within 14 days of your first payment. No questions asked. Simply contact us and we will process your refund promptly.

5.2 Free Trial

All new accounts receive a 30-day free trial. During this period, you can explore all features of your chosen plan without charge. If you cancel before the trial ends, you will not be charged.

5.3 Refund Eligibility

Full refunds are available in the following circumstances:

  • 14-day guarantee: Request a refund within 14 days of your first payment for a full refund, no questions asked.
  • Service unavailability: If the Service experiences significant downtime (more than 24 consecutive hours) not caused by scheduled maintenance, you may be eligible for a prorated refund or credit.
  • Billing errors: If you were charged incorrectly due to a technical error on our part, we will provide a full refund of the erroneous charge.

5.4 After the 14-Day Period

After the initial 14-day refund period:

  • Monthly subscriptions are billed in advance
  • When you cancel, you retain access until the end of your billing period
  • Partial month refunds are not provided after the 14-day guarantee period
  • Unused API calls or features are not refundable

5.5 How to Request a Refund

To request a refund, please contact us at www.merutech.com/contact with your account email and reason for the refund request. Refunds within the 14-day guarantee period are processed immediately. We will respond within 2 business days and approved refunds will be processed to your original payment method within 5-10 business days.

6. Acceptable Use

You agree not to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit malware or harmful code
  • Attempt to gain unauthorized access to our systems
  • Use the Service to attack or harm Oracle systems
  • Exceed your plan's API rate limits through abuse
  • Resell or redistribute the Service without authorization
  • Use the Service for any illegal or fraudulent activity

7. Oracle Credentials

You are responsible for maintaining valid Oracle ERP Cloud credentials and ensuring you have proper authorization to access Oracle systems through our Service. We encrypt all credentials using AES-256-GCM encryption but are not responsible for unauthorized access resulting from compromised credentials on your end. You must have appropriate licenses and permissions from Oracle to use their APIs.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may:

  • Perform scheduled maintenance with advance notice when possible
  • Suspend service for emergency maintenance
  • Modify or discontinue features with reasonable notice
  • Suspend accounts that violate these terms

Ultimate plan subscribers receive SLA guarantees as specified in their subscription agreement, including 99.9% uptime commitment and priority support response times.

9. Intellectual Property

The Service, including its design, features, code, and content, is owned by Merutech Limited and protected by intellectual property laws. You retain ownership of your workflows, data, and configurations created using the Service. By using the Service, you grant us a limited license to process your data as necessary to provide the Service. "Oracle" and "Oracle ERP Cloud" are trademarks of Oracle Corporation.

10. Data and Privacy

Our collection and use of your personal information is described in our Privacy Policy. We maintain isolated databases per organization and encrypt sensitive credentials using industry-standard encryption. We do not sell your data to third parties.

11. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" without warranties of any kind
  • We are not liable for indirect, incidental, special, or consequential damages
  • Our total liability is limited to the amount you paid us in the past 12 months
  • We are not responsible for data loss (you should maintain your own backups)
  • We are not liable for issues arising from Oracle system changes, downtime, or API modifications
  • We are not responsible for actions taken based on data retrieved through the Service

12. Indemnification

You agree to indemnify and hold harmless Merutech Limited, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these terms, or infringement of any third-party rights.

13. Termination

Either party may terminate this agreement:

  • You may cancel your subscription at any time through your account settings
  • We may suspend or terminate accounts that violate these terms immediately
  • We may terminate the Service with 30 days notice if discontinuing operations

Upon termination, your access will be revoked at the end of your billing period (for voluntary cancellation) or immediately (for terms violations). Your data will be deleted according to our retention policy, typically within 30 days of account closure.

14. Changes to Terms

We may update these Terms and Conditions from time to time. Material changes will be communicated via email or service notification at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the new terms. If you do not agree to the changes, you must cancel your subscription before they take effect.

15. Governing Law

These terms are governed by the laws of New Zealand. Any disputes shall be resolved through good faith negotiation first, then through binding arbitration or in the courts of New Zealand. You agree to submit to the exclusive jurisdiction of New Zealand courts.
